Terms & Conditions of Prana Vision

1. Parties

  1. Prana Vision LTD: Located at 47 Boodle Street, Ashton Under Lyne, Tameside OL6 8NF.

  2. Key Definitions:

    • Contract: Agreement between Prana Vision LTD and Purchaser for the sale of Goods.

    • Goods: Raw materials, components, or finished products covered by the order.

    • Order: Purchaser’s request for Goods.

    • Purchaser: Individual, firm, or entity placing an Order.

    • Specification: Written agreement on the Goods’ details, including plans or drawings.

 

2. Validity of Terms

  • All Orders are governed exclusively by these terms, overriding any other terms proposed by the Purchaser.

  • Catalogues, brochures, and illustrations are for reference only and do not form part of the Contract.

 

3. Quotations, Offers, and Acceptances

  1. Quotations:

    • Subject to change and valid for 30 days.

    • Confidential and must not be shared.

  2. Orders:

    • Must be accurate and complete.

    • Accepted only upon written confirmation by Prana Vision LTD.

4. Prices

  1. Quoted prices apply to specific quantities and delivery terms; changes may adjust prices.

  2. Currency fluctuations may affect prices of imported Goods.

  3. Prices exclude VAT, payable by the Purchaser.

 

5. Payment

  1. Payment is due within 30 days of invoice.

  2. For instalment deliveries, each must be paid separately.

  3. Late payments accrue interest as per the Late Payment of Commercial Debts (Interest) Act 1998.

  4. No deductions or delays are permitted.

  5. Prana Vision LTD may request payment before delivery.

 

6. Delivery and Acceptance

  1. Delivery will occur at the location specified in the order confirmation.

  2. Delivery dates are estimates; delays do not constitute liability.

  3. Refusal to accept Goods may result in termination of the Contract after 4 weeks.

  4. Delayed shipments requested by the Purchaser will incur storage charges.

  5. Goods may be delivered in instalments, each invoiced separately.

 

7. Ownership and Risk

  1. Title remains with Prana Vision LTD until full payment is made.

  2. Prana Vision LTD may repossess Goods in case of payment default.

  3. Until ownership transfers:

    • Goods must be stored separately and marked as belonging to Prana Vision LTD.

    • Goods’ identifying marks or packaging must remain intact.

 

8. Damage and Loss in Transit

  1. Report damages or shortages within 3 days of delivery.

  2. Notify Prana Vision LTD of non-delivery within 7 days.

  3. Damaged Goods must be inspected upon receipt and reported immediately.

  4. Goods must be returned in original packaging with a returns number.

 

9. Cancellation

  1. Orders can only be canceled with written consent from Prana Vision LTD.

  2. Prana Vision LTD may terminate a Contract if:

    • Payment is overdue.

    • The Purchaser’s financial position deteriorates.

    • The Purchaser breaches the Contract.

  3. Upon termination, outstanding invoices must be paid immediately.

 

10. Limitation of Liability

  1. Prana Vision LTD’s liability excludes:

    • Loss of profit.

    • Consequential damages.

    • Improper handling or modifications by the Purchaser.

  2. Total liability is limited to the price of the Goods in question.

 

11. Warranties

  1. Prana Vision LTD passes on manufacturer warranties to the Purchaser.

  2. The Purchaser must:

    • Regularly back up data.

    • Apply software updates provided by the manufacturer or Prana Vision LTD.

 

12. Force Majeure

  • Prana Vision LTD is not liable for delays or non-fulfillment due to events beyond its control, including natural disasters, strikes, cyber-attacks, or governmental actions.

 

13. Assignment

  1. Prana Vision LTD may assign or subcontract its rights or obligations.

  2. The Purchaser may not assign the Contract without written consent.

 


 

Appendix 1 – Warranties

This document outlines the warranty terms and conditions provided by Prana Vision LTD for its products. Unless otherwise notified in writing, the Standard Warranty (UK only) applies to all purchases.

1. Standard Warranty (UK Only)

1.1 Prana Vision LTD offers a 36-month warranty (subject to exclusions) covering defective goods caused by bad materials or workmanship. The warranty is effective from the invoice or shipment date, whichever is earlier. Faulty goods must be returned carriage paid to Prana Vision LTD’s head office.

1.2 This warranty is subject to exclusions detailed in section 1.11.

1.3 This warranty is in lieu of any other warranties, whether expressed or implied. Prana Vision LTD is not liable for consequential losses such as loss of profits or increased working costs.

1.4 No warranty is provided for fitness for a particular purpose. The purchaser assumes full responsibility for assessing suitability.

1.5 Repairs or replacements do not extend the original warranty period.

1.6 Replacement products will match the original model as closely as possible. If unavailable, a similar or upgraded model will be provided, but feature parity is not guaranteed.

1.7 A single collection attempt will be made. If unsuccessful, the purchaser is responsible for returning the goods.

1.8 Goods must be securely packaged for return. Damage during transit due to poor packaging is not covered.

1.9 The purchaser must back up data and remove personal information from devices before returning them. Prana Vision LTD is not responsible for data loss.

1.10 Returns without an RMA number will be rejected.

1.11 Warranty Periods and Exceptions

  • 3-Year Warranty: Provision-isr cameras, recorders, monitors, door entry systems, PTZ cameras, switches, and more.
  • 2-Year Warranty: Access control and specific monitors.
  • 1-Year Warranty (void on use): Towers, tools, batteries, connectors, special-order items, etc.

2. 30-Day Money-Back Guarantee

2.1 Exclusions in 1.11 apply.

2.2 Serial or invoice numbers are required for returns.

2.3 Goods must be in “as new” condition, including packaging, accessories, and instructions.

2.4 Packaging must protect goods during return shipping. Prana Vision LTD is not responsible for transit damage.

2.5 A £5.99 fee applies for collection within the UK.

2.6 One collection attempt will be made.

2.7 Damaged or incomplete goods will be rejected or incur repair costs.

2.8 Returns must be approved within 30 days of purchase and received within 35 days.

2.9 RMA numbers are mandatory.

2.10 Returns with cut cables or excluded items (e.g., towers, special-order products) will be rejected.

3. Advance Replacement Warranty

3.1 Exclusions in 1.11 apply.

3.2 Covers faulty material and workmanship from the original purchase date.

3.3 Replacements are inspected. Damaged goods may incur charges.

3.4 Replacement units may be refurbished.

3.5 Repaired units maintain the original warranty period.

3.6 Advance replacements require confirmation of fault by a support engineer and an RMA number.

3.7 Faulty units must be returned within 10 working days, or charges may apply.

3.8 Replacement services are limited to the mainland UK.

3.9 Goods must be securely packaged for return.

4. Warranty Exclusions

Warranty coverage does not apply to faults caused by:

  • Misuse, transit damage, or negligence
  • Tampering or unauthorized repairs
  • Force majeure events (e.g., lightning, flooding)
  • Fair wear and tear

Serial numbers must be intact. Warranty is non-transferable and applies only to the original purchaser.

5. Chargeable Repairs

5.1 Warranty for repaired units does not extend the original warranty period.

5.2 Fixed collection and delivery charges apply.

5.3 RMA numbers are mandatory for returns.

5.4 Goods must be securely packaged for return.
